Securities and Exchange Commission (SEC)

Securities and Exchange Commission (SEC) is the agency that is mandated by its charter to administer the Securities Regulation Code (SRC) under Republic Act No. 8799, the Corporation Code of the Philippines under Batas Pambansa Bilang 68, Presidential Decree No 902-A, the Investment House of the Philippines and other existing laws.

By virtue of the above, SEC exercises jurisdiction and supervision over all corporations, partnerships or associations who are grantees of primary franchises and/or license or permit issued by the government. Accordingly, it registers corporations, whether domestic or foreign intending to do business in the country, partnerships, and other corporations such as the following:
  • Domestic corporations, whether stock or non-stock,
  • Philippine subsidiary of foreign corporations;
  • Philippine branch of foreign corporations;
  • Representative office of foreign corporations;
  • Regional operating headquarters of multinational corporations;
  • Regional area headquarters of multinational corporations;
  • Partnerships, domestic or foreign, and
  • Other associations
Aside from the above registrations, the following applications are with the SEC jurisdiction:
  • Amendments of the above registrations;
  • Change of names;
  • Increase or decrease of capitalization;
  • Dividend declarations ,e.g. stock, cash, property and others;
  • Mergers and consolidations;
  • Registration of securities, whether proprietary or non-proprietary;
  • Issuance of financial instruments;
  • Corporate dissolution and cancellation registrations;
Likewise, SEC registers securities of corporations in coordination with the local stock exchanges prior to issuance to the public. It supervise, monitor, suspend, or take over the activities of exchanges, clearing agencies and other SROs.
